Terms of Service

1. Acceptance of Terms

By accessing or using Commonground ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. These terms apply to all users, including administrators, board members, and residents.

2. Description of Service

Commonground is a community management platform designed for residential communities, condo associations, apartment communities, and neighborhood groups. The Service includes tools for announcements, document management, maintenance requests, community voting, event calendars, and AI-assisted community management features.

3. Account Registration

• You must provide accurate, complete information when registering
• You are responsible for maintaining the security of your account credentials
• You must be at least 18 years old to create an account
• One person may not maintain more than one account
• You are responsible for all activity that occurs under your account

4. Subscriptions and Payment

Free Trial:

New accounts are eligible for a 30-day free trial on paid plans. No credit card is required to start a trial. After the trial period, a valid payment method is required to continue using paid features.

Billing:

• Subscriptions are billed monthly in advance
• All fees are non-refundable except where required by law
• We reserve the right to change pricing with 30 days' notice
• Failure to pay may result in suspension or termination of your account

Plans:

• Starter — $29/month, up to 50 homes
• Professional — $79/month, up to 250 homes, includes AI features
• Enterprise — $199/month, unlimited homes, includes AI features

5. Acceptable Use

You agree not to use the Service to:

• Post unlawful, harassing, defamatory, or discriminatory content
• Impersonate another person or entity
• Upload malicious files or software
• Attempt to gain unauthorized access to other accounts or communities
• Use the Service for any commercial purpose outside of community management
• Scrape, crawl, or extract data from the platform in bulk
• Submit false, misleading, or intentionally harmful content to AI features
• Violate any applicable local, state, or federal laws

6. Content Ownership

You retain ownership of all content you submit to Commonground. By posting content, you grant us a limited license to store, display, and transmit that content solely for the purpose of operating the Service. We do not claim ownership over your community's data.

You are solely responsible for the accuracy and legality of content posted within your community.

7. AI Features

Professional and Enterprise plans include AI-powered tools: an Announcement Generator, a Meeting Minutes Generator, and a Community Assistant, powered by OpenAI's API.

By using AI features, you acknowledge:

• No guarantee of accuracy: AI-generated content may be incomplete, inaccurate, or inappropriate for your community's specific context. All AI outputs must be reviewed by a human before publishing or acting upon them. We are not liable for decisions made based on AI-generated content.
• Data transmission to OpenAI: Content you submit through AI features (prompts, transcripts, questions) is sent to OpenAI for processing. By using these features you consent to this transfer. Do not submit sensitive personal information — such as Social Security numbers, financial account details, or medical information — through AI features.
• OpenAI's terms apply: Use of AI features is also subject to OpenAI's usage policies. Content that violates OpenAI's policies may not be processed.
• No training on your data: Under our API agreement with OpenAI, your submitted data is not used to train or improve OpenAI's models.
• Feature availability: AI features are provided on a best-effort basis. We do not guarantee uptime or response quality for AI features and may modify, limit, or discontinue them at any time.
• Usage limits: AI features are subject to per-user rate limits (such as message quotas per hour) to ensure fair access for all users. The Service will notify you when a limit is reached.

8. Data Processing

Community administrators who use Commonground to manage resident data act as data controllers. Commonground acts as a data processor on your behalf. We process resident data only as directed by you and as necessary to provide the Service.

Enterprise customers who require a formal Data Processing Agreement (DPA) for compliance purposes (e.g., GDPR) may request one by contacting us at support@commongroundliving.co.

9. Termination

You may cancel your account at any time through your account settings. We reserve the right to suspend or terminate accounts that violate these terms, with or without notice. Upon termination, your access to the Service will cease and your data may be deleted after 30 days.

10. Disclaimers

The Service is provided "as is" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses. Commonground is a management tool and is not a substitute for legal advice, professional property management services, or official community governance.

11. Limitation of Liability

To the maximum extent permitted by law, Commonground shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including damages arising from reliance on AI-generated content. Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Governing Law

These Terms shall be governed by the laws of the United States. Any disputes arising under these Terms shall be resolved through binding arbitration, except where prohibited by law.

13. Changes to Terms

We may update these Terms at any time. We will notify users of material changes via email or an in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
